  1. Introduction and Acceptance

1.1 These Terms and Conditions (“Agreement”) govern your access to and use of Soho Zone’s services, including business setup, consultation, advisory services, and any associated online platforms (collectively, “Services”).
1.2 By accessing, using, or purchasing our Services, you agree to comply with and be bound by this Agreement. If you do not agree, you must not use our Services.

  1. Definitions
  • Client/User: Any individual or business entity that engages with our Services.
  • Agreement: This Terms and Conditions document.
  • Services: All services provided by Soho Zone, including advisory, regulatory support, digital systems, and consulting.
  1. Eligibility and Information Requirements

To provide Services, we require the following client information:

  • Full legal name of individual or business entity
  • Valid Emirates ID or Passport details (copy of ID/Passport)
  • Company registration information (if applicable)
  • Contact information (email, phone number, address)
  • Credit card or payment details for deposits, fees, and ongoing billing
  • Additional documentation as required by UAE authorities (POA, power of attorney, visa documents)
    All client data will be handled and stored in accordance with our Privacy Policy.
  1. Account Creation and Security

4.1 Clients may be required to create an account to access certain Services.
4.2 You are responsible for maintaining the confidentiality of your account credentials and agree not to disclose them to anyone else.
4.3 Soho Zone will not be liable for any loss or damage resulting from your failure to protect account information.

  1. Services and Fees

5.1 The Services provided will be described in a separate Engagement Letter or Service Agreement, which shall be incorporated into this Agreement.
5.2 All fees are due as specified — late payments may incur interest or service suspension.
5.3 Fees may include but are not limited to: setup fees, consulting fees, regulatory application fees, government charges, and third-party costs.

  1. Payment Terms

6.1 You agree to provide valid payment information and authorize Soho Zone to charge the agreed fees.
6.2 All payments are non-refundable unless explicitly stated in writing.
6.3 You are responsible for any bank charges, currency conversion fees, or related costs.

  1. Client Obligations

7.1 You agree to provide accurate and complete information and update it when necessary.
7.2 You are responsible for ensuring compliance with applicable UAE laws and regulations.
7.3 You authorize Soho Zone to act on your behalf for submissions, applications, and related communications where necessary.

  1. Limitation of Liability

8.1 To the maximum extent permitted by law, Soho Zone and its affiliates shall not be liable for any indirect, punitive, incidental, or consequential damages arising out of or in connection with your use of the Services.
8.2 Our total liability for any claim arising out of this Agreement shall not exceed the total fees you paid to us for the relevant Services.

  1. Intellectual Property Rights

9.1 All intellectual property, including methodologies, templates, branding, and proprietary systems, remains the exclusive property of Soho Zone.
9.2 Clients may not copy, distribute, or use any material provided by Soho Zone for any purpose outside the scope of this engagement without written permission.

  1. Data Protection and Privacy

10.1 We collect and process personal data in accordance with our Privacy Policy.
10.2 By agreeing to these terms, you consent to our collection, storage, and use of data as described in our Privacy Policy.

  1. Governing Law and Dispute Resolution

11.1 This Agreement shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.
11.2 Any dispute arising under this Agreement shall be resolved first through negotiation, followed by mediation/arbitration in Dubai if necessary.

  1. Termination

12.1 Either party may terminate this Agreement with written notice under specified conditions.
12.2 Soho Zone may suspend or terminate Services if you fail to comply with these terms or fail to make payment.

  1. Amendments

13.1 We may update these Terms and Conditions from time to time.
13.2 We will notify you of material changes, and your continued use of our Services constitutes acceptance of updated terms.

Addendum A: User Conduct & Acceptable Use Policy

A1. Lawful Use

Clients agree to use Soho Zone’s Services strictly for lawful purposes and in compliance with all applicable UAE laws, regulations, and government authority requirements.

A2. Prohibited Activities

Clients must not:

  • Provide false, misleading, or fraudulent information
  • Use the Services for money laundering, tax evasion, or illegal business activities
  • Attempt to circumvent UAE regulations or government procedures
  • Engage in abusive, threatening, or unethical conduct toward Soho Zone staff, partners, or government authorities
  • Use Soho Zone’s services to facilitate sanctioned, restricted, or prohibited activities

A3. Right to Refuse Service

Soho Zone reserves the right to refuse, suspend, or terminate services without liability if:

  • Client information is incomplete or false
  • There is a reasonable suspicion of unlawful activity
  • Continuing the engagement may expose Soho Zone to legal, regulatory, or reputational risk

Addendum B: Third-Party Service Providers & Government Authorities

B1. Third-Party Engagement

Soho Zone may engage third-party service providers including:

  • Government authorities and free zones
  • Banks and financial institutions
  • Legal, accounting, and auditing firms
  • Insurance providers
  • Technology and digital service providers

B2. No Control Over Third Parties

Soho Zone is not responsible for:

  • Delays, rejections, or decisions made by government authorities or third parties
  • Changes in regulations, fees, or procedures imposed by external entities
  • Service interruptions or failures caused by third parties

B3. Additional Fees

Clients acknowledge that third-party or government fees are:

  • Subject to change without notice
  • Non-refundable once submitted
  • Payable by the client regardless of outcome

Addendum C: Service-Level Disclaimer (No Guaranteed Outcomes)

C1. Best-Effort Basis

All Services are provided on a best-effort basis. Soho Zone does not guarantee:

  • Company registration approval
  • Visa issuance or renewal
  • Bank account approval
  • Licensing timelines or acceptance

C2. Regulatory Dependency

Outcomes depend on:

  • Government authorities’ discretion
  • Client’s eligibility and documentation
  • Regulatory changes beyond Soho Zone’s control

C3. Timeline Disclaimer

Any timelines provided are estimates only and are not contractually binding.

Addendum D: Refund, Cancellation & Chargeback Policy

D1. Non-Refundable Services

Unless explicitly agreed in writing:

  • Consultation fees
  • Government fees
  • Application submission fees
  • Setup, processing, and administrative fees
    are non-refundable once work has commenced.

D2. Client-Initiated Cancellation

If a client cancels after service commencement:

  • Soho Zone retains all fees for work completed
  • Outstanding balances remain payable

D3. Chargebacks

Clients agree not to initiate chargebacks without first contacting Soho Zone.
Unjustified chargebacks may result in:

  • Immediate service termination
  • Recovery of costs and legal fees

Addendum E: Indemnification

E1. Client Indemnity

The client agrees to indemnify, defend, and hold harmless Soho Zone, its directors, employees, and partners against any claims, losses, damages, or liabilities arising from:

  • Client’s breach of these Terms
  • False or misleading information provided
  • Client’s failure to comply with UAE laws
  • Third-party claims related to the client’s business activities

Addendum F: Force Majeure

F1. Force Majeure Events

Soho Zone shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to:

  • Government actions or policy changes
  • Pandemics, epidemics, or public health emergencies
  • Natural disasters
  • System outages
  • Strikes, labor disputes, or civil unrest

F2. Continuation or Termination

If a force majeure event persists, Soho Zone may suspend or terminate Services without liability.

Addendum G: Confidentiality & Non-Disclosure

G1. Confidential Information

All non-public information exchanged between the parties is considered confidential, including:

  • Business plans
  • Financial data
  • Personal identification documents
  • Commercial terms

G2. Confidentiality Obligations

Both parties agree not to disclose confidential information to third parties except:

  • Where required by law or government authority
  • To authorized service providers under confidentiality obligations

Addendum H: Data Protection & Client Consent

H1. Consent to Data Collection

By engaging Soho Zone, clients expressly consent to the collection, storage, processing, and sharing of:

  • Emirates ID / Passport copies
  • Visa documents
  • Corporate records
  • Payment and billing information

H2. Cross-Border Data Transfer

Client data may be processed or stored outside the UAE where necessary for service delivery, subject to reasonable data protection safeguards.

Addendum I: Marketing & Communications Consent

I1. Communications

Clients consent to receive:

  • Service updates
  • Regulatory notices
  • Marketing communications (email, WhatsApp, SMS)

I2. Opt-Out

Clients may opt out of marketing communications at any time without affecting core service delivery.

Addendum J: Entire Agreement & Severability

J1. Entire Agreement

These Terms & Conditions, together with all addendums, service agreements, and engagement letters, constitute the entire agreement between the parties.

J2. Severability

If any provision is found unenforceable, the remaining provisions shall remain valid and enforceable.

 

Addendum: Regulatory and Compliance Disclaimer (Approvals, KYC, Non-Refundability)

1) Our role and authority decisions

Soho Zone provides advisory, administrative, and facilitation support for business setup, licensing, visa and immigration-related services, and associated compliance coordination. All final decisions—including approvals, rejections, renewals, conditions, and processing timelines—are determined exclusively by the relevant government authorities, free zones, banks, and/or other third parties, in accordance with their internal rules and applicable regulations. Soho Zone cannot influence these independent decisions.

2) KYC / due diligence outcomes

Certain services are subject to KYC, background checks, and compliance reviews conducted by banks, authorities, or third-party providers. Soho Zone may assist with document collation and submission; however, the outcome of any KYC / due diligence review is determined solely by the reviewing entity and may require additional documents, interviews, or clarifications.

3) Fees after process initiation (non-refundability)

Once a request, application, or process has been initiated and/or submitted to any authority, free zone, bank, or third-party provider, the associated fees become non-refundable to the extent they relate to work performed, reserved capacity, and/or third-party/government processing—regardless of the final outcome. This reflects standard UAE service practices where submission/processing fees are typically non-refundable after filing.

4) Our commitment to support

Soho Zone remains committed to professional support throughout the process and, where feasible and permitted by the relevant authority/third party, can assist clients in exploring alternative routes or corrective steps. This support does not imply or guarantee any specific approval outcome.

Addendum: Anti-Money Laundering and Counter-Terrorist Financing (AML/CFT)

1) AML/CFT compliance approach

Soho Zone applies a risk-based approach to client onboarding and service delivery, aligned with applicable UAE AML/CFT requirements. This includes verifying client identity, understanding beneficial ownership/control where relevant, and assessing service-related risk indicators.

2) Client verification and documentation

Clients agree to provide accurate, complete, and up-to-date information and documentation upon request, which may include (as applicable): identification documents, proof of address, source of funds/source of wealth information, beneficial owner details, and supporting corporate documents.

3) Enhanced checks and ongoing requests

Where a client, transaction, jurisdiction, or activity presents higher risk indicators, Soho Zone may require enhanced due diligence and additional supporting documentation and may conduct periodic refresh checks during the engagement.

4) Right to pause or decline services

To protect clients and maintain compliance, Soho Zone may pause, decline, or discontinue services if required information is not provided, cannot be validated, or if proceeding could expose Soho Zone or the client to regulatory, legal, or reputational risk.

5) Record keeping

Soho Zone may retain onboarding and service records for the period required by applicable law and compliance needs (including retaining relevant records for multiple years where required).

Addendum: NOC and File Release (Client Transfer / Self-Completion)

This one is sensitive, so here’s wording that protects you without sounding like a penalty—it frames it as an additional, optional service not included in the base quote.

1) What an NOC is

In certain cases, a No Objection Certificate (“NOC”) or file release/hand-over letter may be required to enable a client to complete services independently, transfer processing to another provider, or update sponsorship/administration arrangements.

2) NOC / file release is not included

Unless explicitly stated in the written quotation or engagement scope, issuance of an NOC and/or file handover assistance is not included in the service fees provided for setup, visa, PRO, or compliance services.

3) NOC / file release service fee

If a client requests an NOC and/or file release/hand-over support, a dedicated service fee of AED 10,000 applies. This fee reflects administrative time, internal compliance checks, coordination, and preparation of supporting documents as may be required.

4) Requests, timing, and prerequisites

Soho Zone will process NOC/file release requests within a reasonable timeframe, subject to:

  • completion of agreed deliverables up to the request date,
  • settlement of any outstanding invoices/third-party charges (if any),
  • completion of any required compliance checks.

5) Friendly clarification

Soho Zone fully respects a client’s right to change direction or providers; the NOC/file release fee simply covers the additional administrative and compliance work required to close and hand over the file properly.
